Requirement/Must Have:

• Strong experience drafting and negotiating complex commercial agreements.
• Solid understanding of contract law and healthcare regulatory requirements.
• Experience with SaaS and DaaS contractingmodels.

• Licensed attorney with a minimum of 3 years of experience in commercial contracting and negotiation.
• J.D. with a minimum of 4 years of relevant commercial contracting experience.
• Experience within healthcare, medical technology, or regulated industries preferred.

• Draft, review, and negotiate contracts with public and private sector customers.
• Ensure agreements comply with internal policies and approved contractual standards.
• Develop working knowledge of products, customers, and internal policies to guide negotiations.
• Support agreements including master agreements, purchase or rental agreements, SaaS and DaaS agreements, software licensing, support services, HIPAA/BAA, data security, and amendments.
• Identify and analyze technical, operational, legal, and financial risks and issues.
• Clearly communicate findings to support informed decision-making.
• Summarize transaction-specific concerns for escalation to senior stakeholders and legal teams.
• Collaborate with cross-functional teams such as regulatory, risk management, accounting, and marketing.
• Support contract template development and continuous improvement initiatives.
• Maintain high standards of accuracy, timeliness, and professionalism in all deliverables.
